These Terms of Service ("Terms") govern your access to and use of HybridCipher, Inc.'s websites, desktop applications, command line interface tools, and related services (collectively, the "Services"). By using the Services, you agree to these Terms.

If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.

1. Definitions

"HybridCipher"

HybridCipher, Inc.

"You" / "User"

The person or entity using the Services.

"Account"

Your user account for accessing the Services.

"Content"

Any data you provide, store, transmit, or generate using the Services, including files and metadata.

"Encrypted Content"

Content that has been encrypted on your device by HybridCipher software.

"Group"

A group or organization workspace that supports shared access, membership, and administration.

"Subscription"

A paid plan (if offered) for access to features or limits.

2. The Services

2.1 What HybridCipher provides

HybridCipher provides software and services intended to help you encrypt and manage access to files using a client-side encryption approach. You typically choose a local folder to enroll, and encrypted data may be stored and synced by a storage provider you choose.

2.2 What HybridCipher does not provide

HybridCipher is not your cloud storage provider. Your storage provider's terms apply to their storage and synchronization services.

2.3 Changes to the Services

We may modify, add, or remove features at any time. We may also suspend or discontinue the Services (in whole or part). Where required by law, we will provide reasonable notice.

3. Eligibility and Account Registration

You must be able to form a binding contract to use the Services. You agree to provide accurate information and keep it up to date. You are responsible for all activity under your Account, including maintaining the confidentiality of your credentials.

4. Security Model and Your Responsibilities

4.1 Client-side encryption and credentials

HybridCipher is designed so encryption and decryption occur on your devices. You are responsible for safeguarding your credentials, device access, and any recovery codes you maintain.

If you lose your recovery codes or keys, you may lose access to your data. HybridCipher may not be able to recover it.

4.2 Devices and environment

You are responsible for securing your devices (for example, operating system updates, malware protection, and physical security). HybridCipher is not responsible for compromises caused by your environment, misconfiguration, or third-party software.

4.3 Backups

You are responsible for maintaining appropriate backups, including for encrypted data and any configuration you need to restore access.

5. Acceptable Use

You agree not to misuse the Services. You may not:

  • Break the law while using the Services
  • Attempt to gain unauthorized access to the Services or other users' data
  • Interfere with or disrupt the Services (for example, denial-of-service, probing, scanning)
  • Reverse engineer, decompile, or attempt to extract source code from the Services except to the extent permitted by law (or as allowed by an open-source license for specific components)
  • Use the Services to distribute malware or harmful content
  • Use the Services to infringe intellectual property rights or violate privacy rights
  • Circumvent usage limits, access controls, or security features

We may suspend or terminate access for violations.

6. Content and Data

6.1 Your Content

You retain ownership of your Content. You grant HybridCipher a limited license to process service metadata as needed to provide the Services (for example, account management, device registration, team membership coordination, and support), consistent with our Privacy Policy.

6.2 Encrypted Content

HybridCipher is designed to operate on Encrypted Content. Depending on your configuration, your chosen storage provider may store and sync Encrypted Content. You are responsible for selecting and managing your storage provider.

6.3 Prohibited Content

You may not use the Services to store or transmit content that is illegal to possess or distribute in your jurisdiction, including but not limited to: child sexual abuse material (CSAM), content that facilitates terrorism or violence, stolen data, or content that violates applicable export control laws.

7. Group Features (if enabled)

7.1 Administration

If you create or join a Group, Group administrators may manage membership, roles, and certain Group-level settings. You acknowledge that administrators can control access for Group resources and may initiate actions like rekeying.

7.2 Membership changes and rekeying

Removing a member may change the Group's key epoch or access state. Depending on configuration, rekey operations may be required to revoke access to previously shared files. Rekeying behavior may depend on Group settings and device availability.

7.3 Your relationship with Group administrators

If you use the Services through a Group, your use may be subject to your organization's policies. HybridCipher is not responsible for Group administrators' actions.

8. Intellectual Property

HybridCipher retains all rights to the Services, including software, branding, and documentation, except for your Content and any open-source components governed by their licenses.

If we provide open-source components, those components are licensed under their respective open-source licenses.

9. Beta, Preview, and Pilot Features

Some features may be offered as beta, preview, or pilot ("Pre-release Features"). Pre-release Features may be unstable, may change, and may be discontinued.

Pre-release Features are provided "as is" and "as available" and may be unstable. During beta, you should keep independent backups and avoid relying on the Services for critical or irreplaceable data. By participating in a pilot program, you agree to provide reasonable feedback to help improve the Services.

10. Third-Party Services and Links

The Services may interoperate with or reference third-party services (for example, cloud storage providers). HybridCipher does not control those services and is not responsible for their performance, availability, or policies.

11. Suspension and Termination

11.1 By you

You may stop using the Services at any time. You may request account deletion per our Privacy Policy.

11.2 By us

We may suspend or terminate your access if:

  • You violate these Terms
  • We must do so to comply with law
  • Your use poses a security risk or harms the Services or other users

Where reasonable, we will attempt to provide notice and an opportunity to remedy.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYBRIDCIPHER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

HybridCipher does not warrant that the Services will be uninterrupted, error-free, or free of harmful components. You are responsible for maintaining access credentials and backups.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • HYBRIDCIPHER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
  • HYBRIDCIPHER'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO HYBRIDCIPHER FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU HAVE NOT PAID, USD $100).

Some jurisdictions do not allow certain limitations, so these limits may not apply to you.

14. Governing Law and Venue

14.1 Governing law

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules.

14.2 Informal resolution

Before initiating a formal legal proceeding, you agree to contact us at contact@hybridcipher.com and attempt to resolve the dispute informally for at least 30 days.

14.3 Venue

Except where prohibited by applicable law, you and HybridCipher agree that any dispute arising out of or relating to the Services or these Terms will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and each party consents to personal jurisdiction and venue there.

15. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the Services or our website. Continued use after the effective date of updated Terms constitutes acceptance.
